These Terms of Service ("Terms") govern your use of the ACEE Space website (acee.space) and any reservation, payment, or service offered through it. By accessing the website or placing a reservation, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding agreements. By using ACEE Space, you represent and warrant that you meet these requirements.

2. Service Description

ACEE Space provides custom commercial space delivery services, including design, manufacture, mission integration, and content production for brands, IP holders, cultural institutions, and qualified individuals. Missions may include low Earth orbit (LEO), International Space Station (ISS), and lunar surface destinations, in collaboration with third-party commercial space carriers.

3. Reservation Deposits

3.1 Nature of the Deposit

Payments of $999 (致品牌 / Brands tier) and $99 (致个人 / Individuals tier) are refundable reservation fees, not the final price of any mission. Final mission pricing is determined through business development discovery and a separately executed Statement of Work ("SOW").

3.2 What the Deposit Reserves

A reservation establishes the customer's place in ACEE's queue for the next available mission slot matching their tier. The reservation does not guarantee a specific launch date, carrier, or final price.

4. Mission Risk Disclaimers

Commercial space missions carry inherent risks that ACEE does not control:

In the event of carrier-side failure, scrub, vehicle loss, or carrier cancellation, the default remedy is a free priority reflight on the next ACEE-contracted mission of the same destination class within 36 months ("Mission Assurance"). If ACEE is unable to arrange such a reflight within 36 months, the customer is entitled to a 100% refund of the reservation deposit. Full terms are set forth in the Refund Policy.

5. Force Majeure

Neither party shall be liable for any failure or delay caused by events beyond reasonable control, including but not limited to rocket failures, regulatory bans, war, acts of terrorism, government actions, pandemic, fire, flood, earthquake, or other natural disasters ("Force Majeure"). Force Majeure events are treated as mission failure under Section 4 — Mission Assurance applies (reflight first, refund fallback). Beyond the Mission Assurance remedy, ACEE has no further liability.

5A. Mission Assurance (Reflight)

On any qualifying mission failure event (including carrier-side failure, vehicle loss, mission scrub, carrier cancellation, or Force Majeure), ACEE will use commercially reasonable efforts to arrange a free priority reflight of the customer's payload on the next ACEE-contracted mission of the same destination class (Earth orbit or Lunar surface), within 36 months of the failure event. The reflight covers the original payload at no additional cost; if the payload was destroyed, ACEE bears re-manufacturing cost up to the original cost basis. ACEE selects the rebooking carrier; the destination class is preserved. If no rebooking is possible within 36 months, the customer is entitled to a 100% refund. The customer acknowledges that the Mission Assurance reflight remedy (or, in the alternative, the refund fallback) is the customer's sole and exclusive remedy for any mission failure.

6. Intellectual Property

The customer retains ownership of all intellectual property they provide to ACEE. By participating in a mission, the customer grants ACEE a non-exclusive, royalty-free license to use mission imagery, content, and customer name for marketing, press, and case study purposes, subject to the customer's right to request anonymization before launch.

7. Limitation of Liability

To the maximum extent permitted by law, ACEE's total aggregate liability under these Terms or in connection with any reservation, mission, or service shall not exceed (a) the amount of the reservation deposit paid by the customer, or (b) the cost of arranging a Mission Assurance reflight of equivalent destination class, whichever applies under the circumstances. ACEE is not liable for any indirect, consequential, incidental, special, punitive, or exemplary damages, including lost profits, lost data, business interruption, reputational harm, or third-party costs, even if advised of the possibility. The customer expressly waives any claim against ACEE for such damages arising from mission failure, carrier delay, payload loss, or any related event.

8. Termination

Either party may terminate this agreement at any time before mission scope is locked. Termination and refund procedures are described in the Refund Policy. Termination does not relieve either party of obligations already accrued.

9. Governing Law & Arbitration

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms shall be finally settled by arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, with the seat of arbitration in Delaware. Judgment on the award may be entered in any court of competent jurisdiction.

10. Privacy

Your use of ACEE Space is also governed by our Privacy Policy, which is incorporated by reference.

11. Modifications

ACEE may update these Terms from time to time. Material changes will be communicated via email to customers with active reservations and posted on this page with an updated effective date. Continued use of the service after changes constitutes acceptance.

12. Severability & Entire Agreement

If any provision of these Terms is held unenforceable, the remaining provisions shall continue in full force. These Terms, together with the Privacy Policy, Refund Policy, and any executed SOW, constitute the entire agreement between the customer and ACEE regarding the subject matter.
